1. Acceptance of Terms

PLEASE READ THESE TERMS OF SERVICE CAREFULLY.

BY ACCESSING OR USING HEROIC AI RPG IN ANY WAY, INCLUDING PLAYING THE GAME, CREATING AN ACCOUNT, OR ACCESSING ANY CONTENT THROUGH THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE (THESE "TERMS").

If you do not agree to these Terms, do not use the Services.

Heroic AI RPG (the "Game" or "Service") is operated by Pandastic FZC, a company registered in the Sharjah Publishing City (SPC) Freezone, Sharjah, United Arab Emirates ("Pandastic," "we," "our," or "us").

These Terms constitute a legally binding contract between you and Pandastic regarding your use of the Services.

2. Description of Service

Heroic AI RPG is an AI-powered fantasy role-playing game platform that generates narrative content, characters, and game mechanics using artificial intelligence. The Service includes:

• AI-generated narrative content and storytelling
• Character creation and customization
• Interactive gameplay with AI-powered story systems
• Solo and (future) multiplayer campaign modes
• World and scenario building tools

3. AI Disclaimer

Heroic AI RPG uses artificial intelligence to generate game content. You acknowledge and agree that:

• The AI technology is experimental, rapidly evolving, and may produce unexpected outputs or results
• AI-generated content may contain errors, omissions, inaccuracies, or offensive material
• You rely on AI-generated content at your own risk
• Pandastic is not liable for any AI-generated content, including errors, omissions, or offensive material
• AI-generated content should not be used for any professional, medical, legal, or financial advice

4. Eligibility

4.1 Age Requirements

• Minimum Age: You must be at least 13 years of age to use the Services
• Users 13–17: May use the Services with verified parental or guardian consent where required by applicable law. Access will be restricted to age-appropriate content
• Users 18 and Over: Full access to all features and content
• By using the Services, you represent and warrant that you meet these age requirements

4.2 Other Eligibility

You represent and warrant that:

• You have not previously been suspended or removed from the Services
• Your registration and use complies with all applicable laws and regulations
• You are not located in a country subject to a UAE or US government embargo

5. Account Registration and Security

5.1 Account Creation

To access most features, you must register for an account. When registering, you agree to:

• Provide accurate, complete, and current information
• Maintain and update your account information as needed
• Not create multiple accounts for abusive purposes

5.2 Account Security

You are solely responsible for:

• Maintaining the confidentiality of your password and login credentials
• All activities that occur under your account
• Immediately notifying us at info@heroicairpg.com of any unauthorized use or security breach

We are not liable for any loss or damage arising from your failure to protect your account credentials.

5.3 Account Deletion

You may delete your account at any time through your account settings or by contacting us. Deletion of your account will result in loss of access to all associated content and data.

6. User Conduct and Prohibited Behavior

You agree NOT to:

• Use the Services for any illegal purpose or in violation of any applicable law
• Harass, threaten, intimidate, or abuse other users
• Infringe upon the intellectual property rights of others, including copyrights and trademarks
• Use character names, world settings, story elements, or other material from movies, television, comic books, video games, books, or other franchises without the rights or permissions required by law
• Commercially exploit content that incorporates third-party intellectual property without authorization
• Attempt to reverse engineer, decompile, or extract source code from the Services
• Use automated systems, bots, scrapers, or other unauthorized tools
• Attempt to circumvent, disable, or interfere with content moderation or safety systems
• Engage in model extraction, distillation, or stealing attacks
• Use the Services to create content featuring minors in sexual or exploitative contexts
• Impersonate any person or entity or falsely claim affiliation
• Upload malicious code, viruses, or harmful software
• Interfere with the operation of the Services or other users' enjoyment
• Use the Services or AI outputs to train competing AI models

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Services, including all content, features, functionality, software, algorithms, AI models, branding, artwork, and design, are owned by Pandastic FZC or its licensors and are protected by UAE and international intellectual property laws. All rights not expressly granted are reserved.

7.2 User-Generated Content

Ownership. You retain ownership of the copyright and other intellectual property rights in the original content you create and submit to the Services ("User Content"), subject to the license granted below.

License to Pandastic. By submitting User Content, you grant Pandastic a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to:

• Host, store, transfer, and display your User Content
• Reproduce and modify (for formatting and technical purposes)
• Use your User Content to operate, maintain, improve, and develop the Services
• Train and improve our AI models, algorithms, and machine learning systems
• Create aggregated, anonymized datasets for analytics and research
• Share your User Content with other users as part of gameplay

If you set your account or content to private, we will limit sharing with other users, but the license to use content for AI training and service improvement remains.

Representations. By submitting User Content, you represent and warrant that you have, or have obtained, all rights, licenses, consents, and permissions necessary to grant the licenses described in these Terms, and that your User Content does not infringe, misappropriate, or otherwise violate any third-party intellectual property, privacy, publicity, or other rights.

7.3 AI-Generated Content

Content generated by the AI in response to your inputs ("Output") is owned by Pandastic, subject to the rights granted under applicable law. You are granted a limited, personal, non-commercial, non-transferable license to use Output within the Services. Due to the nature of AI, similar or identical content may be generated for other users.

7.4 Third-Party Intellectual Property and Franchise Content

Please respect the rights of other creators and rights holders. You should not use the Services to create, prompt for, store, or share content that infringes, misappropriates, or otherwise violates the intellectual property or other rights of any third party. This includes content involving copyrighted characters, trademarked brands, franchise settings, or other protected material you do not have the right to use. This applies to your inputs and to Output generated in your sessions.

Heroic AI RPG is not affiliated with, sponsored by, or endorsed by any third-party franchise, studio, publisher, or trademark owner. Any references you create are your personal creative choices and do not imply an official relationship.

Unless you own the relevant rights or have obtained permission, use of third-party-inspired content must remain for your private, personal, non-commercial entertainment within the Services. You are solely responsible for your User Content and your use of Output. Pandastic does not take responsibility if you use the Services in a way that infringes the rights of others.

If a rights holder submits a request as required by applicable law or legal process regarding your content, we will cooperate as legally required, which may include removing content or restricting accounts. See our Content Policy and DMCA Policy for additional details.

7.5 Feedback

Any feedback, suggestions, or ideas you provide about the Services become the property of Pandastic, and we may use them without compensation or attribution.

8. Payment Terms and Subscriptions

8.1 Credit-Based System

Heroic AI RPG operates on a credit-based system. Credits are virtual, non-monetary digital items that may be used for gameplay features, extended interactions, and premium content.

• Credits are licensed, not sold — you acquire no ownership interest
• Credits have no cash or monetary value
• Credits are non-transferable and tied to your account
• Credits may be acquired through purchase, subscription bonuses, or in-game achievements

8.2 Payment Processing

All payments are processed by Stripe or other third-party payment processors. Your payment information is handled in accordance with Stripe's privacy policy and these Terms. We do not store full credit card details.

8.3 Pricing and Changes

• Prices are in USD unless otherwise stated
• We reserve the right to change pricing with reasonable notice
• Promotional offers and discounts may be modified or discontinued at any time

8.4 Subscriptions

If you purchase a subscription:

• Your subscription will auto-renew unless cancelled before the renewal date
• You may cancel at any time from Subscription & Billing in your account menu (world selection screen → account menu → Subscription & Billing → Manage or Cancel Subscription)
• Cancellation is completed in our secure Stripe billing portal
• Cancellation takes effect at the end of the current billing period
• You will continue to have access to your paid tier until the end of the paid period
• When a paid plan ends, your account returns to the Apprentice (free) tier, your credit balance is capped at 1,000 credits, and world slot limits revert to Apprentice limits

8.5 Refund Policy

• Credits are non-refundable except as required by applicable law
• No refunds for partially used credits or subscription periods
• We may, at our sole discretion, issue refunds for verified technical issues
• Users banned for policy violations are not entitled to refunds
• Refunds for purchases made through app stores (Apple, Google) are subject to those platforms' policies

9. Content Moderation and Safety

All content created, submitted, or generated through the Services is subject to our Content Policy. We reserve the right to:

• Monitor, review, and analyze content for policy violations
• Remove or block content that violates these Terms or our Content Policy
• Suspend or terminate accounts for violations
• Report illegal content to appropriate authorities

10. Termination

10.1 Termination by You

You may terminate your account at any time. Terminating your account does not revoke the licenses you have granted to Pandastic for content created while your account was active.

10.2 Termination by Us

We may suspend or terminate your account or access to the Services at any time, with or without notice, for:

• Violation of these Terms or our Content Policy
• Any conduct we deem harmful to the Services, other users, or third parties
• Extended inactivity
• Legal requirements or law enforcement requests

10.3 Effect of Termination

Upon termination:

• Your access to the Services ceases immediately
• Unused credits are forfeited and non-refundable
• Licenses granted to Pandastic survive termination
• Your obligation to pay any amounts due survives
• Sections that by their nature should survive (AI Disclaimer, Indemnification, Limitation of Liability, Governing Law, Dispute Resolution) remain in effect

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PANDASTIC DISCLAIMS ALL WARRANTIES, INCLUDING:

• Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement
• That the Services will be uninterrupted, secure, or error-free
• That AI-generated content will be accurate, reliable, or appropriate
• That defects or errors will be corrected

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PANDASTIC FZC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages arising from your use or inability to use the Services
• Any content generated by AI, including offensive, inaccurate, or third-party-inspired material
• Any User Content or Output that you create, prompt for, or use in violation of third-party intellectual property or other rights
• Any conduct or content of third parties or other users

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF:

• The amount you paid us in the 12 months preceding the claim
• USD 100 (e.g., AED 500 or USD 100)

13. Indemnification

You agree to defend, indemnify, and hold harmless Pandastic FZC, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any third-party rights (including intellectual property rights)
• Your User Content, including claims that it infringes third-party rights
• Your interactions with other users

14. Governing Law

These Terms are governed by the laws of the United Arab Emirates, specifically the laws applicable in the Emirate of Sharjah and the Sharjah Publishing City Freezone, without regard to conflict of law principles.

The United Arab Emirates has established the following key data protection and commercial laws:

• Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL)
• Federal Law No. 5 of 1985 (the UAE Civil Code) as amended
• Federal Decree-Law No. 37 of 2022 on Commercial Companies
• Sharjah Publishing City Freezone Regulations

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal dispute, you agree to first contact us at info@heroicairpg.com and attempt to resolve the dispute informally for a period of 30 days.

15.2 Arbitration

If the dispute cannot be resolved informally, it shall be resolved through binding arbitration in accordance with the rules of the Dubai International Arbitration Centre, conducted in English in the Emirate of Sharjah, UAE. The arbitration shall be conducted by a single arbitrator.

15.3 Class Action Waiver

You agree that any dispute resolution shall be conducted on an individual basis only. You waive any right to bring claims as a class action, collective action, or representative proceeding.

15.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights.

16. Modifications to Terms

We may modify these Terms at any time. Material changes will be effective 30 days after posting or notification. Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms. If you do not agree, you must stop using the Services.

17. DMCA / Copyright Infringement

If you believe that content available through the Services infringes your copyright, please refer to our DMCA Policy for instructions on how to submit a notice.

18. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and Content Policy, constitute the entire agreement between you and Pandastic
• Severability: If any provision is found unenforceable, the remaining provisions continue in effect
• Waiver: Failure to enforce any provision does not constitute a waiver
• Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations freely
• No Support: We are under no obligation to provide support, but may offer it at our discretion
